Ms. Huang specializes in venture capital and private equity financing, cross-border and domestic mergers and acquisitions, pharmaceutical/healthcare-related (BD) transactions, capital markets, outbound investment, foreign direct investment, joint ventures, IP/technology licensing, restructuring, liquidation, and general corporate matters. She has represented many well-known domestic and foreign investment institutions in their equity investments or acquisitions in various industries, mainly responsible for transaction structure design, drafting and review of transaction documents, negotiation of transaction documents, due diligence, etc. She has also provided legal services for enterprises in various industries to accept equity investments from domestic and foreign investors and their general corporate and compliance matters. In addition, Ms. Huang specializes in various of pharmaceutical/healthcare-related (BD) transactions and has helped various renowned multinational and PRC pharmaceutical and biotech companies in their license deals, sale and purchase of assets and/or businesses, NewCo transactions, CRO, CSO and CMO agreements, supply agreements, distribution transactions, technology transfer agreements, and material transfer agreements (MTAs), providing comprehensive legal services. Ms. Huang has also participated in the overseas listings and bond issuances of enterprises engaged in numerous industries and is responsible for due diligence and drafting and reviewing prospectuses and legal opinions.
