Her practice spans across a wide spectrum of capital markets and corporate transactions, as well as financings, corporate governance, listing rules and regulatory compliance matters. She regularly advises companies and entrepreneurs in doing business in the U.S., such as setting up tax-efficient corporate structures and undertaking financings and acquisitions in the U.S.
Melody's equity capital markets practice covers a broad range of transactions, including Hong Kong IPOs, Rule 144A offerings, U.S. IPOs, SEC-registered offerings, private placements, share placings, rights issues, and block trades. Melody is also very knowledgeable and has significant experience in private equity and venture capital investments, cross-border mergers and acquisitions, joint ventures, pre-IPO restructuring and financings, general offers, and disclosable transactions. She also frequently advises issuers and lead managers on a variety of debt capital markets transactions, including convertible bonds, exchangeable bonds, New York-law governed high yield bonds, credit-enhanced bonds, investment grade bonds, and RMB dim sum bonds. In addition to her substantial transactional experience, Melody also has extensive experience in advising listed companies and their boards on corporate governance, directors' duties and on-going reporting obligations. She has also built a reputation in the greater China legal market for advising companies on international sanctions and export control issues.
With more than 25 years' experience, Melody has worked with clients from various industries, including technology, new energy, life sciences, pharmaceutical, financial services, insurance, consumer products, real estate, energy, natural resources, retail, food and beverage, and manufacturing. Prior to joining Han Kun, Melody was a partner at several well-known international law firms and worked in the New York office of a prestigious Wall Street law firm for a few years.
