Russell practiced as a corporate lawyer at a well-regarded Singapore law firm prior to joining Han Kun. His practice covers a wide range of corporate areas, with a particular focus on M&As, corporate compliance, and general commercial matters. His clients include multinational companies, listed issuers, sponsors, investors, PRC state owned enterprise, and founders in a broad range of industries.
Russell's M&A experience includes acting for clients on domestic and cross-border acquisitions and disposals, and fundraising exercises. He advises on transaction structures, advises companies and start-ups across various sectors in relation to domestic and cross-border M&A and financing matters, conducts and facilitates the legal due diligence process in relation to share and asset acquisitions and divestments, performs legal research on issues pertaining to corporate transactions and regulatory matters, and attends to transaction closings. He also drafts and reviews various commercial agreements including loan, employment, shareholder and non-disclosure agreements.
In addition, Russell advises listed issuers on their continuing obligations under the Singapore listing rules and requirements under the Singapore Code on Take-overs and Mergers and assists in drafting the relevant announcements and circulars for corporate actions.
