Han Kun advises Acclime Holdings Limited on investment from Warburg Pincus

Recently, Acclime Holdings Limited ("Acclime") and its shareholders entered into a transaction agreement with private equity firm Warburg Pincus regarding an equity investment in Acclime. The transaction was signed on December 17, 2025, and is currently subject to regulatory approvals, with closing expected to occur in the second quarter of 2026.

Acclime is a leading pan-Asian corporate services platform headquartered in Hong Kong, providing company secretarial, accounting and tax, compliance and other corporate services across multiple Asian jurisdictions. This transaction reflects the strong confidence of top-tier global private equity investors in the growth potential of the Asian corporate services sector. Upon completion of this transaction, Acclime's management team will reinvest alongside Warburg Pincus to support the next phase of the group's development.

In this cross-border M&A transaction, Han Kun acted as PRC legal counsel to Acclime, providing professional, efficient, and comprehensive legal services regarding PRC law matters involved in the transaction. This included conducting legal due diligence on business operations in China and issuing PRC legal opinions on relevant PRC law compliance and regulatory matters, demonstrating Han Kun's strong capabilities and proven experience in cross-border M&A transactions.
