Ms. Jing's main practice area is onshore and offshore fund formation and asset management. Ms. Jing has extensive experience in private investment fund formation and investment, having specialized for many years in advising on the formation of onshore and offshore funds and asset management. Ms. Jing has represented dozens of international and domestic hedge funds, private equity funds, trust companies, insurance companies and fund business subsidiaries of securities companies in a large number of funds and the design and formation of other investment products. She is deeply involved in advising on the operation and formation of private equity funds and asset management plans, including with respect to regulatory and compliance, corporate governance, and equity incentive and personnel arrangements.
Jing Liu
Ms. Liu specializes commercial dispute resolution. She has represented clients in litigations, arbitrations and settlement negotiations covering equity transfers, security disputes, commercial leases, options disputes and other areas, especially disputes involving investments, financing and private equity funds. Ms. Liu has successfully dealt with a variety of disputes on behalf of clients involving equity repurchases, control of funds, and withdrawal of related fund investors/partners. Due to her years of valuable experience, Ms. Liu excels at formulating litigation/arbitration strategies based on the circumstances of her clients and at making proper use of litigation techniques to maximize their interests.
Lulu Wu
Ms. Wu has been practicing law for over nine years and specializes in financing and investment (equity and debt), domestic and cross-border acquisitions, corporate restructuring, foreign investment, negotiating commercial contracts, and general corporate consulting. Ms. Wu is familiar with the diverse legal needs of a variety of clients, having represented many clients, from institutional investors, large-scale group companies and fast-growth companies, to start-ups and their founders. Ms. Wu has participated in projects in a broad array of industries, including artificial intelligence, media and entertainment, big data, high-tech, and mobile internet.

Charles Wu specializes in cross-border venture capital and private equity, mergers and acquisitions, and general corporate matters. He leverages the firm's full-service resources to explain "China specific" issues to international private equity and multinational clients in a clear, concise, and digestible manner. Charles also represents domestic clients in pre-IPO cross-border venture capital financings, mergers and acquisitions, joint ventures and strategic alliances, follow-on financings of companies listed on the Stock Exchange of Hong Kong or the NYSE/Nasdaq, public and private secondary disposals, Hong Kong transactional and compliance matters, and outbound investments in non-PRC jurisdictions.
Yao (Ally) Hu
Ms. Hu has extensive experience in providing fund formation, operation, and management legal services to various types of domestic and overseas funds and fund management institutions, including private equity investment funds, private venture capital investment funds, FOFs, QFLP funds, real estate funds, secondary funds, government guidance funds, M&A funds, private securities investment funds, and contractual funds. In addition, Ms. Hu represents various domestic and overseas LPs, including FOFs, government guidance funds, insurance institutions, listed companies, and large state-owned and private enterprises in their investments in different types of domestic and overseas funds. Ms. Hu also provides compliance consulting services for many fund clients on the operation and management of private investment funds post establishment, and provides services for the design of internal team incentive plans for many first-tier investment funds. Meanwhile, Ms. Hu participates in the formation of and investment in many trusts and asset management plans, as well as in domestic and overseas PE/VC investment and financing projects.
Hong Huang
Ms. Huang specializes in the areas of venture capital and private equity, mergers and acquisitions, and offshore securities offerings and restructurings. Ms. Huang has participated in a large number of complex equity and asset transactions and has provided legal services to numerous private equity funds, venture capital funds, and leading internet companies in relation to their equity investment and acquisition transactions. Ms. Huang has assisted start-up companies with their initial public offerings, equity financings, mergers and acquisitions, and general corporate matters. She has also acted as the PRC legal adviser for issuers and sponsors in certain companies'initial public offerings on overseas stock exchanges. Ms. Huang has advised clients in a variety of industries, including Internet, telecommunications, e-commerce, culture and entertainment, education, fintech, healthcare, and consumer.
Xiayi Liu
Ms. Liu specializes in domestic and overseas private equity and venture capital, mergers and acquisitions, corporate restructuring and financing, among others, and is able to provide risk-controllable legal solutions based on her clients' business needs. Ms. Liu has assisted many PE/VC funds and startup companies in completing a large number of complex transactions. Ms. Liu provides services including designing transaction structures, conducting legal due diligence, and drafting and negotiating transaction documents. Ms. Liu's legal services cover a broad range of industries including pharmaceuticals, Internet, education, insurance, human resources, and technology.
Xiu Pei
Ms. Pei specializes in labor law, and has especially significant experience in advising companies on legal and compliance issues relating to labor and employment, including consulting on issues such as recruitment and termination, confidentiality and restrictive covenants, trade unions, labor dispatches, cross-border employment, and employee compliance. Ms. Pei is also specialized in employment-related arbitration and litigation, from which she accumulated extensive experience in improving company employment systems and procedures, including reviewing employment contracts, confidentiality and non-compete agreements, and employee handbooks. Ms. Pei also has extensive practical experience in the dismissal of senior managers and handling their post-termination restrictions.
Wei Quan
Mr. Quan specializes in fintech, bank finance, supply chain finance, and personal financial information protection. In the area of fintech, Mr. Quan advises fintech companies and financial institutions on developing financial products in relation to consumer finance, supply chain finance, payment services, drafting legal documents, and applying for financial licenses. He has participated in numerous equity and asset merger and acquisition deals and initial public offerings of fintech companies.
